Grant Smith brings a broad legal background as corporate counsel and a practicing attorney heavily involved in M&A transactions. He began his career with a highly-rated Fort Lauderdale law firm where he worked for 10 years in government affairs for national clients, before embarking on an entrepreneurial path, where he filled a number of roles as owner, counsel, and chief administrative officer. He was then asked to be the general counsel and chief administrative officer of an environmental services company where he helped grow the company through numerous acquisitions. After that company was sold, he was asked to remain to work closely with the new owner’s team to grow the company until it was sold again to a larger, international company.
EXPERIENCE
Mr. Smith's legal experience includes many disciplines and industries. He has represented clients at every level of government, federal, state and local. It is this varied experience that enables him to draw on a depth of knowledge that most advocates simply don’t have.
By successfully navigating the worlds of business and the private practice of law, he has developed a knowledge base and a depth of experience most professionals who have never been in the “real world” don’t understand.
The ability to translate the needs of a business to run their business and operate within the confines of the law takes an experienced counselor.
Businesses have time constraints and bottom lines. Most attorneys are oblivious to the pressures their clients face. Having worked on both sides, he brings the expertise to bridge the gap.
He has extensive experience in business matters and enhances the ability to effectively assist clients in a non-litigation context. Building a strong foundation associated with M&A transactions will enable the acquiring company to scale up in a way that will not strain the organization.
In this regard, Mr. Smith has expertise in the following:
Review of entity formations (corporations, limited liability companies, professional associations and general and limited partnerships);
Drafting, review, and negotiation of employment, non-disclosure, non-compete, arbitration and separation agreements;
Drafting and implementing handbooks and recruiting policies;
Drafting, review, and negotiation of commercial leases;
Drafting, review, and negotiation of various contracts and business documents, including asset sale and purchase agreements and related terms and conditions;
Corporate governance;
Industry-specific and general regulatory and compliance matters.
