During the span of Jeff’s legal career, he has engaged in a broad range of commercial law activities including companies involved in the acquisition of other entities and assets, representing lenders and borrowers in loan originations/workouts and working with investors and companies in financing transactions. He has extensive experience in licensing and protection of intellectual properties; implementing executive, employee and independent contractor compensation and incentive plans; and reviewing corporate governance documentation and compliance.
Concerning experience associated with M&A activities, Jeff has engaged in identifying critical assets and associated liabilities that have been acquired and interfacing with outside legal counsel to determine the appropriate actions and programs to be implemented to maximize and preserve the value of such resources. At a working level, such efforts begin during due diligence with an in-depth review of the underlying documentation to definitively identify the rights and duties of the acquiring company and any issues associated with the substitution of the buyer as a party to the applicable relationships.
Jeff began his legal career with a major law firm in Atlanta, Georgia where he specialized in all aspects of corporate law. After twenty years with the firm, he joined a venture capitalist client that specialized in life science-oriented startup companies. Since that time he has been instrumental in the creation and administration of a number of technology-based companies, including the establishment of the appropriate internal processes and procedures needed to procure and protect the tangible and intellectual property assets of entrepreneurial entities.
